Terms and conditions
These terms and conditions apply to all agreements between Smart Health and Science (trading as ZelfTech) and the customer, regarding the ZelfTech robotics package.
1. Definitions
In these terms: ZelfTech/SHS means Smart Health and Science (sole proprietorship), KVK 86191748, VAT NL004463895B90, trading as ZelfTech. Customer means the BSO organisation, camp or school entering into an agreement with ZelfTech. Robots means the Edison robots and related materials provided on loan by ZelfTech. Services means the starter package, the subscription and all related support.
2. Applicability
These terms apply to every offer made by ZelfTech and every agreement between ZelfTech and the customer, unless agreed otherwise in writing.
3. Offer and formation of the agreement
An agreement is formed once the customer has accepted ZelfTech's offer (verbally, in writing, or via the request form) and ZelfTech has confirmed it.
4. Robots on loan
The robots remain the property of Smart Health and Science / ZelfTech at all times and are provided to the customer on loan for the duration of the agreement. The robots are not sold to the customer and may not be resold, rented out, or made available to third parties.
5. Term, cancellation and renewal
The minimum subscription term is 8 lessons. Cancellation must be submitted at least 2 weeks before the end of the contract term. Renewal of the agreement is likewise confirmed or declined at least 2 weeks before the end of the contract term. Pausing the agreement is not possible.
6. Prices and payment
All prices stated are exclusive of 21% VAT. Payment is made by invoice, in full and in advance, prior to delivery of the relevant services. Amounts paid are non-refundable, including in the event of early termination.
7. Damage and loss
If a robot is damaged or lost during the subscription term, ZelfTech will replace it free of charge, so the customer can continue with the missions without interruption.
8. Liability
ZelfTech is not liable for indirect damages. ZelfTech's liability is in all cases limited to the amount the customer has paid to ZelfTech during the current contract term. (This clause is a draft and is still pending legal review.)
9. Intellectual property
All rights to the materials provided by ZelfTech (missions, instructions, challenge cards, digital content) rest with Smart Health and Science / ZelfTech. The customer may only use these materials for their intended purpose within their own organisation.
10. Force majeure
ZelfTech is not obliged to fulfil any obligation if prevented from doing so by force majeure.
11. Governing law and disputes
All agreements are governed by Dutch law. Disputes will, where possible, be resolved by mutual consultation.
