In these terms, ZelfTech means Smart Health and Science trading as ZelfTech; Customer means the BSO organisation, school, camp or other organisation entering into an agreement with ZelfTech; Package means the robots, physical materials and initial lessons; Subscription means periodic access to additional lessons, support and robot service; Portal means the restricted online student and facilitator area; and Materials means all physical and digital lessons, guides, challenge cards, designs and other ZelfTech content.

These terms apply to every offer, quotation and agreement between ZelfTech and the Customer. Deviations only apply if agreed in writing. If documents conflict, an individually signed agreement or accepted quotation takes precedence over these terms. The Customer's purchasing terms only apply if ZelfTech expressly accepts them in writing.

A website enquiry is non-binding and does not itself form an agreement. An agreement is formed when the Customer accepts a quotation or other offer and ZelfTech confirms the order, or when ZelfTech begins performance with the Customer's agreement. Obvious errors in an offer do not bind ZelfTech.

ZelfTech supplies the agreed Package, Portal access and support described in the quotation. Delivery and response times are targets unless a binding deadline is expressly agreed in writing. ZelfTech may improve or replace parts of the service provided its core functionality is not materially reduced.

The Portal is only for the Customer's staff and participants during the agreed access period. The Customer keeps the shared access code confidential and reports suspected misuse promptly. The code is a simple access gate, not a personal account. The Customer must not bypass security, scrape the Portal or introduce harmful code. ZelfTech may temporarily block access in the event of misuse, security risk or expiry of the agreement.

All intellectual property rights in the Materials and Portal belong to Smart Health and Science or its licensors. For the agreed duration and purpose, the Customer receives a limited, non-exclusive, non-transferable right to use them within its own organisation and agreed locations. Publication, resale, sublicensing, commercial distribution, modification or large-scale reproduction is not permitted without prior written consent. Third-party rights and attributions remain applicable.

The Customer may provide suggestions and feedback. ZelfTech may use non-confidential feedback without payment to improve the service and Materials. Personal data in feedback is handled under the privacy policy.

ZelfTech uses reasonable efforts to keep the service available and usable but does not guarantee uninterrupted or error-free operation. Maintenance, supplier outages and changes can cause temporary interruptions. ZelfTech provides extracurricular enrichment and does not guarantee a particular learning outcome, diploma, certification or suitability for an individual child.

ZelfTech is not required to perform an obligation while prevented by circumstances beyond its reasonable control, including outages affecting internet, hosting or transport services, government action, illness, fire or supplier failure. If force majeure lasts more than sixty days, either party may terminate the unperformed part in writing without damages.

A party may terminate if the other materially breaches the agreement and does not remedy that breach within a reasonable period stated in writing. ZelfTech may suspend or terminate immediately for serious misuse, a safety risk, insolvency or where continued performance would be unlawful. Portal access ends and loaned items must be returned after termination. Clauses intended to survive, including payment, intellectual property and liability, remain effective.

ZelfTech may update these terms to reflect changes to the service, operations or law. The current version is published on the website. ZelfTech will give reasonable advance notice of material changes that adversely affect an ongoing agreement. Agreed performance will not be materially changed unilaterally unless required by law.

The agreement is governed by Dutch law. The parties will first try to resolve disputes through consultation. If that fails, disputes will be submitted to the competent court in the Netherlands, unless mandatory law provides otherwise.
